Membership & Group Coaching Terms & Conditions

Purpose of Agreement

This Agreement (“Agreement”) sets forth the terms and conditions between Virtually Structured, (“Company/Coach,” “we,” “our”) and the undersigned client (“Client,” “you,” “your”) regarding participation in any Virtually Structured membership program, group coaching program, or business directory program (“Program”).

By enrolling, you agree to abide by these terms and commit to the Program(s) purchased.

Program Inclusions

Depending on your membership level, your Program may include some or all of the following:

  • Live group coaching & implementation calls

  • Private peer community access for accountability & support

  • Access to course content, video lessons, and toolkits 

  • Onboarding welcome call & monthly progress check-ins

  • Access to live workshops

  • Business Directory membership (listing + networking events)

  • For premium programs (e.g., Visionary to CEO Program): strategy calls, second set of eyes reviews, co-working sessions, CEO planning intensives, and bonus resources

Payment & Commitment

  • Programs are billed either monthly, (paid in full), or as a one-time payment, as outlined at purchase.

  • Payments are non-refundable. By enrolling, you agree to complete all payments regardless of participation.

  • Payment plans are a courtesy; failure to complete agreed-upon payments will result in immediate suspension of access and/or may include legal action.

Termination

We reserve the right to remove any Client who is disruptive, disrespectful, or violates this Agreement. No refunds will be provided in such cases.

Term & Access

  • Bi-annual, Annual and lifetime memberships/programs provide access as described at purchase.

  • All program content is for personal use only and may not be shared, resold, or distributed.

Client Responsibilities

You agree to:

  • Show up and participate in calls, workshops, and community spaces.

  • Respect the confidentiality of other members.

  • Use the materials for your business only.

  • Take personal responsibility for your implementation, results, and business decisions.

Security

While Coach shall take all reasonable precautions to protect the security of the information Client provides to Coach via membership platform, Client acknowledges the risk of transmitting data electronically and Client transmits such data at Client’s own risk. 

Intellectual Property

All program content, templates, videos, frameworks, and toolkits are the intellectual property of Virtually Structured. You receive a limited, non-exclusive, non-transferable license for personal business use only.

Coaching Disclaimer

The Company provides education, training, mentorship, and coaching support through its Programs. Coaching is not therapy, counseling, or professional legal, financial, or mental health advice. By participating, you acknowledge and agree that:

  • Coaching is future-focused and designed to support your personal and business development.

  • You remain solely responsible for your decisions, actions, and results.

  • Any strategies, frameworks, or feedback provided are suggestions; it is your choice how and whether to implement them.

  • The Company and its coaches are not liable for outcomes of your business decisions.

Limitation of Liability:
"Under no circumstances shall Virtually Structured/Christy & Co. be liable for any indirect, incidental, consequential, special, or exemplary damages arising from or relating to the services provided.

Governing Law

This Agreement is governed by the laws of Tennessee as if it were executed and wholly performed there. The state and federal courts located in Nashville, Tennessee will have exclusive jurisdiction over any case or controversy arising from or relating to this Agreement. Client hereby unconditionally and irrevocably consents to the personal and subject matter jurisdiction of the federal and state courts of the State of Tennessee for the purpose of any claim or action arising out of or relating to this Agreement.

Entire Agreement/Severability

Client and Coach agree that this Agreement represents the entire agreement between Client and Coach, besides additional specific project details expressly and mutually agreed upon by the Parties in writing. No other agreement, promise, or statement made on or before the Effective Date of this Agreement shall be binding on the Parties. This Agreement may be modified only in writing that is signed by both Parties.

The Parties also agree that if a court determines a provision of this Agreement is unenforceable, the remainder of that provision and the rest of the Agreement shall be severable and will remain in effect.

Agreement

By enrolling in any Virtually Structured programs or memberships and using the VTC Members' Area and resources, you acknowledge you have read, understand, and agree to these Terms & Conditions.
